Putting the carpet over top of the liner won't protect it from rust. Carpet holds water, which will cause it to rust faster. A good liner will not have any issues protecting the inside of the tub. The underneath you will need to protect as well. From experience, you will want to put floor mats in the front though. After 4 years, I started to wear through the herculiner on my TJ at the gas pedal where my foot rested.

You make 100% sense. But, I really like to have carpet to help muffle the sound a little. I have headers and dual exhaust and I can barely hear the radio! so I think it would make even more sense then to protect with some kind of liner between the metal and the carpet. Yeah, and I for sure wanna coat the underside as well. Kinda of a sheet metal / Rhino sandwich. :)
 
The carpet will help muffle the sound and hold back some of the heat but it sounds to me like you could really benefit from some hush mat. If your not going to be getting the interior soaked , wich you shouldnt with carpet than having that in between will provide some very nice results for you.

Hush Mat? I'm new to that. Yeah I think I'd be in the market for some of that. I'll check it out. Any ideas where to check for it?
 
Various places sell hush mat, crutchfield, and other music type places in your local area.
I like herc on the cheap but I prefer upol raptor liner or line-x.
Anyone see that show where they used line-x as bomb proofing material?
That show sold me on line-x.
